PLEASE READ THESE TERMS OF SERVICE (“TERMS”) CAREFULLY. THESE TERMS CONSTITUTE A LEGALLY BINDING AGREEMENT BETWEEN YOU AND ZERO TAM d/b/a RANGEPOST, A TEXAS LIMITED LIABILITY COMPANY (“RANGEPOST,” “WE,” “US,” OR “OUR”). BY ACCESSING, BROWSING, OR USING THE RANGEPOST WEBSITE LOCATED AT WWW.RANGEPOST.COM AND ANY RELATED SERVICES, INCLUDING ANY MOBILE APPLICATIONS WE MAY OFFER (COLLECTIVELY, THE “PLATFORM”), WHETHER AS A VISITOR, JOB SEEKER, OR LISTING POSTER, YOU AGREE TO BE BOUND BY THESE TERMS. IF YOU DO NOT AGREE TO THESE TERMS, DO NOT USE THE PLATFORM.
THESE TERMS CONTAIN A MANDATORY ARBITRATION PROVISION AND A CLASS ACTION WAIVER, WHICH AFFECT YOUR LEGAL RIGHTS. PLEASE READ SECTION 17 CAREFULLY.
1. Overview of the Platform
RangePost is an online marketplace operated by RangePost that connects employers and businesses with applicants and community members. RangePost facilitates the posting and discovery of job listings and other local listings (which may include, in the future, housing, rentals, local services, classifieds, equipment sales, community events, and business directories). RangePost acts solely as a technology platform. RangePost does not employ, hire, or make hiring decisions. RangePost does not screen, interview, or recommend applicants or employers. Any hiring decision or employment relationship formed through the Platform is solely between the applicable Poster (defined below) and Applicant (defined below). RangePost is not a party to any employment agreement, independent contractor agreement, or other arrangement between Users (defined below).
The Platform serves the following user types: (i) “Visitors” are individuals who browse the Platform without creating an account; (ii) “Applicants” are registered users who use the Platform to search for job listings or other opportunities and connect with Posters; and (iii) “Posters” are registered users (including companies, employers, and individuals) who create and publish job listings or other local listings on the Platform. Visitors, Applicants, and Posters are collectively referred to herein as “Users” or “you.” Registered users (i.e., Applicants and Posters) may also be referred to as “Account Holders.”
2. Eligibility and Account Registration
(a) General Eligibility.
You must be at least 18 years of age, or the age of majority in your jurisdiction of residence, to create an account on the Platform. Visitors may browse the Platform regardless of age, but must be at least 18 years of age to apply for or respond to any listing. By using the Platform, you represent and warrant that you meet the applicable eligibility requirements.
(b) Browsing Without an Account.
Visitors may browse job listings and other content on the Platform without creating an account. Certain features, including the ability to save listings, receive email alerts, or post a job listing, may require account registration.
(c) Poster Account Creation.
To create a Poster account, you must provide your name, email address or phone number, and company or organization name. You must also verify your email address. You represent and warrant that you have the authority to post listings on behalf of the company or organization identified in your account. You agree to provide accurate, current, and complete information during registration and to update such information as necessary. You are solely responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.
(d) Acceptance of Terms; Material Changes.
By creating an account or using the Platform, you agree to be bound by these Terms, our Privacy Policy, and any additional policies or guidelines posted on the Platform, each of which is incorporated herein by reference. We may update or modify these Terms at any time in our sole discretion. Your continued use of the Platform following the effective date of any such changes constitutes your acceptance of the revised Terms. If you do not agree to any revised Terms, your sole remedy is to cease using the Platform and close your account before the changes take effect.
3. No Employment Relationship; Platform Disclaimer
RANGEPOST IS NOT AN EMPLOYER, STAFFING AGENCY, EMPLOYMENT SERVICE, OR RECRUITER. RANGEPOST DOES NOT HIRE, EMPLOY, SUPERVISE, DIRECT, OR CONTROL ANY USER. RANGEPOST DOES NOT SCREEN, INTERVIEW, VET, OR RECOMMEND ANY JOB SEEKER OR POSTER. RANGEPOST DOES NOT MAKE HIRING DECISIONS AND DOES NOT GUARANTEE EMPLOYMENT OR THE FILLING OF ANY POSITION.
Any employment, independent contractor, or other working relationship formed between a Poster and an Applicant is exclusively between those parties. RangePost is not a party to, and has no liability arising from, any such relationship. Posters are solely responsible for their own hiring decisions, employment practices, and compliance with applicable employment laws. Applicants are solely responsible for evaluating the suitability of any opportunity and for their own employment decisions.
Nothing in these Terms shall be construed to create an employment relationship, partnership, joint venture, agency, or franchise between RangePost and any User.
4. How the Platform Works
(a) Browsing.
Users may browse job listings and other content posted on the Platform without creating an account. The Platform organizes listings by geographic area, category, and other criteria to help Users find relevant opportunities.
(b) Job Listings.
Posters may create and publish job listings on the Platform. Listings may include job title, description, location, compensation range (if the Poster elects to disclose it), qualifications, and other relevant details. Posters are solely responsible for the content, accuracy, and legality of their listings.
(c) Applying and Responding to Listings.
Applicants may view listings on the Platform and access Poster contact information or external links to apply directly with the Poster. All applications are submitted directly to the Poster, not through RangePost. RangePost does not guarantee that a Poster will review or respond to any application, nor does RangePost guarantee that any application will result in employment or an interview.
(d) Email Alerts.
Users who provide their email address and preferences (geographic area, job category, or sector) may receive email notifications about new listings matching their criteria. Users may manage their notification preferences or unsubscribe from email alerts at any time through their account settings or by following the unsubscribe instructions in any such email.
(e) Seeded Listings.
RangePost may compile and display publicly available job listings from third-party sources (“Seeded Listings”). Seeded Listings are provided for informational purposes only, and RangePost makes no representations or warranties regarding their accuracy, completeness, or current availability. Posters may claim and manage Seeded Listings associated with their company by verifying their association with the listed employer through the Platform.
(f) Communication.
The Platform may provide tools or features for Users to communicate with each other in connection with listings. In addition to the prohibited conduct set forth in Section 8, Users agree not to use such communication tools for spam, unsolicited commercial messages, harassment, or any purpose unrelated to a listing on the Platform.
5. Fees
(a) Current Fees. The Platform is currently free to use for all Users. RangePost reserves the right to introduce fees for certain features or services (such as sponsored listings, featured job posts, or premium placement) in the future. If fees are introduced, RangePost will publish updated terms governing such fees. Your continued use of the Platform following the introduction of fees constitutes your acceptance of such terms.
(b) Paid Features.
If RangePost introduces paid features (such as sponsored listings, featured posts, or premium placement), Posters who elect to use such features agree to pay all applicable fees at the rates then in effect. RangePost may change pricing at any time. All payments shall be in U.S. dollars. You agree to provide current, complete, and accurate billing and account information for all purchases made through the Platform.
(c) Third-Party Payment Processors.
If RangePost introduces paid features, all charges and payments may be facilitated through RangePost’s selected third-party payment processor(s). RangePost may replace its third-party payment processor(s) without notice to you. Payment processing services provided by third-party payment processor(s) are subject to such third party’s terms of service and privacy policy. By making a payment, you agree to be bound by the terms and conditions of the applicable third-party payment processor. RangePost is not responsible for any errors, delays, or issues caused by third-party payment processors. All payment-related disputes must be addressed directly with the payment processor.
(d) No Refunds.
All sales are final. Fees for paid features are non-refundable unless otherwise expressly stated by RangePost.
(e) Non-Payment.
Failure to pay any applicable fees may result in suspension or termination of access to paid features, removal of sponsored or featured listings, and/or termination of your account. You agree to be responsible for the payment of all amounts that you accrue through your use of the Platform, including all fees, penalties, taxes, and duties.
6. Listing Guidelines and Poster Responsibilities
This Section 6 applies to Posters only.
(a) Compliance with Employment Laws.
You represent and warrant that all listings you post on the Platform comply with all applicable federal, state, and local laws, regulations, and ordinances, including, without limitation, Title VII of the Civil Rights Act of 1964, the Americans with Disabilities Act (“ADA”), the Age Discrimination in Employment Act (“ADEA”), the Equal Pay Act, the Genetic Information Nondiscrimination Act (“GINA”), and all applicable state and local anti-discrimination and employment laws. You are solely responsible for ensuring that your listings and hiring practices comply with all applicable laws.
(b) Non-Discrimination.
Listings must not contain discriminatory language or express preferences, limitations, or specifications based on race, color, religion, sex (including pregnancy, sexual orientation, and gender identity), national origin, age, disability, genetic information, veteran status, or any other characteristic protected by applicable federal, state, or local law, except where a bona fide occupational qualification (“BFOQ”) applies and is lawfully stated. RangePost reserves the right to remove any listing that, in its sole discretion, appears to violate applicable anti-discrimination laws.
(c) Accuracy of Listings.
All listings must be accurate and not misleading regarding compensation, job duties, location, qualifications, requirements, or any other material term. Posters must not post fictitious, expired, or misleading listings. Posters must promptly update or remove listings that are no longer accurate or available.
(d) Authority to Post.
You represent and warrant that you have the authority to post listings on behalf of the company, organization, or individual identified in the listing, and that the listing reflects a genuine, current opportunity. You may not post listings on behalf of a company or organization without that entity’s authorization.
(e) Listing Content.
You are solely responsible for the content of your listings and for all claims, liabilities, and damages arising from or related to your listings. RangePost does not review, approve, endorse, or verify listings before they are published, and RangePost assumes no liability for the content of any listing.
(f) Removal of Listings.
Posters may remove or deactivate their listings at any time. RangePost reserves the right to remove, suspend, or de-list any listing that, in its sole discretion, violates these Terms, any policies incorporated herein, applicable law, or RangePost’s community standards.
7. Applicant Responsibilities
This Section 7 applies to Applicants only.
(a) Accurate Information.
You are responsible for ensuring that all information you provide through the Platform (including your name, email address, and any information submitted in connection with an application or response to a listing) is accurate, current, and complete.
(b) No Misrepresentation.
You must not submit false information, misrepresent your qualifications, experience, or identity, or provide misleading information to Posters.
(c) Compliance with Laws.
You agree to comply with all applicable federal, state, and local laws, regulations, and ordinances in connection with your use of the Platform.
(d) No Guarantee of Employment.
You acknowledge and agree that RangePost does not guarantee that you will receive responses to your applications, obtain interviews, or secure employment through the Platform. RangePost is not responsible for any Poster’s hiring decisions, response times, or employment practices.
8. Prohibited Conduct
The following activities are prohibited on the RangePost platform. All Users agree that they will not:
Discrimination and Illegal Content
Post, submit, or transmit any content that is discriminatory, or that expresses unlawful preferences or limitations based on any characteristic protected by applicable law.
Violate any applicable federal, state, local, or international law, regulation, or ordinance in connection with the use of the Platform.
Fraud and Misrepresentation
Post false, fictitious, misleading, or fraudulent listings, or other content.
Impersonate any person or entity, or falsely state or otherwise misrepresent your affiliation with a person or entity, or create a false identity for purposes of misleading others.
Post listings for non-existent positions or opportunities for the purpose of collecting personal information or for any other deceptive purpose.
Trick, defraud, or mislead RangePost or other Users, especially in any attempt to learn sensitive account information such as user passwords.
Platform Integrity
Use any data scraping, robots, spiders, crawlers, or similar automated data-gathering tools on the Platform, or access the Platform through automated or non-human means, whether through a bot, script, or otherwise.
Attempt to gain unauthorized access to any portion of the Platform, other Users’ accounts, or any systems or networks connected to the Platform.
Engage in unauthorized framing of or linking to the Platform.
Systematically retrieve or copy any information or content found on the Platform to directly or indirectly create or compile, in whole or in part, a collection, compilation, database, or directory.
Use the Platform for any purpose not expressly permitted by these Terms.
Inappropriate and Harmful Content
Post or transmit any content that is harmful, threatening, abusive, harassing, tortious, defamatory, vulgar, obscene, libelous, sexually explicit, violent, invasive of another’s privacy, hateful, or discriminatory based on race, sex, religion, nationality, disability, age, or sexual orientation.
Post or transmit any content directed toward children under 13 years of age in violation of the Children’s Online Privacy Protection Act (COPPA).
Post or transmit any content containing software viruses or any other technology designed to interrupt, destroy, or limit the functionality of the Platform.
Transmit junk mail, chain letters, unsolicited mass emails (spam), or engage in solicitation activities such as pyramid schemes.
Harassment and Abuse
Engage in harassing, threatening, abusive, defamatory, or intimidating conduct toward any User or any other person.
Stalk or otherwise harass any User.
Spam and Unauthorized Communications
Send spam, unsolicited commercial messages, or bulk communications through the Platform or using contact information obtained through the Platform.
Use the Platform to advertise or promote products or services unrelated to the purpose of the Platform without RangePost’s prior written consent.
Personal Information
Post or disclose another person’s personal information (including name, address, phone number, email, Social Security number, or financial information) without that person’s express consent.
Collect, store, or use personal information of other Users except as necessary to facilitate communication regarding a listing in the ordinary course.
Terrorism and Prohibited Parties
Provide material support or resources (or conceal or disguise the nature, location, source, or ownership of material support or resources) to any organization designated by the United States government as a foreign terrorist organization pursuant to Section 219 of the Immigration and Nationality Act.
9. Content Take Down; Right to Remove
We reserve the right, but not the obligation, to take down or otherwise exclude from the Platform, without notice or recourse, any content, listings, communications, names, photographs, videos, comments, reviews, information, and/or other materials made or submitted by you or others on or through the Platform which we believe at any time and in our sole discretion to be:
Infringing or otherwise in violation of the proprietary, privacy, or publicity rights of any person or entity;
Plagiarizing the work of any third party;
Defamatory, disparaging, or embarrassing towards any person or entity;
Disclosing confidential, private, or personal information about or belonging to any person or entity;
Profane, indecent, or obscene;
Racist, sexist, or otherwise derogatory in terms of race, nationality, religion, gender, gender identification, sexual orientation, or otherwise;
Threatening, abusive, or constituting hate speech;
Inciting violence;
False, misleading, or deceptive;
Violating the values of RangePost or the communities served;or
Otherwise illegal or in violation of these Terms.
The foregoing right shall not create an obligation on the part of RangePost to monitor or review User Content, and RangePost shall have no liability for its decision to remove or not remove any content.
10. RangePost’s Role; No Warranty of Listings or Opportunities
(a) Platform Only.
RangePost is a technology platform that facilitates the posting and discovery of job listings and other local listings. RangePost does not employ, supervise, direct, or control any User. RangePost does not endorse, certify, or guarantee any Poster, Applicant, listing, or opportunity. The decision to post a listing, apply for a position, or enter into any relationship with another User is entirely at your own risk.
(b) No Verification of Listings or Users.
RangePost does not verify the accuracy of listings, the qualifications of Applicants, the legitimacy of Posters, or the existence or availability of any posted opportunity, unless expressly stated otherwise. RangePost is not responsible for any inaccurate, incomplete, or misleading content posted by Users.
(c) No Guarantee of Success.
RangePost makes no representations or warranties regarding any User’s potential earnings, hiring success, applicant quality, or other outcomes, which will be influenced by a number of factors beyond the control of RangePost. It is possible that Posters will not fill any position and that Applicants will not obtain any employment through the Platform. RangePost expressly disclaims any guarantee that use of the Platform will result in any particular outcome for any User.
(d) Third-Party Services and Content.
The Platform may integrate with or link to third-party services, including mapping services and email providers. RangePost does not control and is not responsible for the availability, accuracy, or reliability of any third-party services or content. Seeded Listings compiled from third-party sources are provided for informational purposes only.
11. Intellectual Property
(a) Ownership.
RangePost and its licensors retain all right, title, and interest in and to the Platform, including all software, design, text, images, graphics, logos, trademarks, trade names, and other intellectual property (collectively, “RangePost IP”). You may not copy, reproduce, modify, distribute, display, or create derivative works from any RangePost IP without RangePost’s prior written consent.
(b) Limited License to Users.
Subject to your compliance with these Terms, RangePost grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Platform solely for the purpose of (i) if you are an Applicant, browsing listings and accessing Poster contact information, or (ii) if you are a Poster, creating and managing listings, in each case as contemplated by these Terms.
(c) User Content.
By posting listings, company descriptions, or other content on the Platform (“User Content”), you grant RangePost a non-exclusive, royalty-free, fully paid, perpetual, irrevocable, transferable, sublicensable, worldwide license to use, host, store, reproduce, modify, adapt, display, distribute, and create derivative works from your User Content in connection with the operation, promotion, and improvement of the Platform. You represent and warrant that you own or have all necessary rights to grant this license and that your User Content does not violate any third party’s intellectual property rights or any applicable law.
(d) Content Syndication and Promotion.
RangePost may display, distribute, syndicate, and promote listings and other User Content through the Platform, email notifications, social media, search engines, partner websites, and other channels in connection with the operation and marketing of the Platform. Without limiting the foregoing, you grant RangePost the right to syndicate your User Content for any purpose, including without limitation the right to use such syndicated content to promote the RangePost brand and Platform. You further grant RangePost a non-exclusive, worldwide, royalty-free license to use your trademarks, trade names, and logos solely for the purpose of promoting your listings on the Platform. Posters acknowledge and agree that listings posted on the Platform may be indexed by search engines and accessible to the public.
12. Notice of Copyright Infringement (DMCA)
We comply with the notice and takedown procedures established under the Digital Millennium Copyright Act (17 U.S.C. Section 512) (the “DMCA”). If you believe your copyrighted material has been infringed upon by content posted on the Platform, please send electronic and written notice to our Designated DMCA Agent as follows:

Pursuant to the DMCA, you must include the following information in your written notice for it to be effective:
A detailed description of the copyrighted work you believe is being infringed upon;
A description (such as the URL) of the location where the allegedly infringing content appears on the Platform;
Your contact information, including your name, address, telephone number, and, if available, email address;
A statement that you have a good-faith belief that the allegedly infringing use is not authorized by you as the copyright owner, by your agent, or by law;
A statement affirming that, under penalty of perjury, the information in the notice is accurate and that you are, or are authorized to act on behalf of, the copyright owner;
An original or electronic signature of the copyright owner or someone authorized on the owner’s behalf to assert infringement of copyright and to submit the statement; and
Any other information you believe will help us assess your claim.
Upon receipt of notice of claimed infringement, we will follow the procedures specified in the DMCA to resolve the claim between the notifying party and the alleged infringer who provided the content at issue.
13. Third-Party Links and Services
The Platform and any communications sent through or in connection with the Platform may contain links to third-party websites, applications, networks, platforms, or services, and, similarly, third-party websites may contain links to the Platform (collectively, “Linked Technologies”). The Linked Technologies are not under the control of RangePost or its affiliates. The Platform contains outgoing links solely as a convenience to you.
If you decide to access the Linked Technologies or to use or install any Linked Technologies, you do so at your own risk, and you should be aware that these Terms no longer govern your use of such services.
YOU SHOULD REVIEW ANY APPLICABLE PRIVACY POLICIES AND TERMS OF SERVICE PUBLISHED THROUGH ANY LINKED TECHNOLOGIES BEFORE USING THEM.
RangePost is not responsible for any information, content, goods, services, promotions, advertisements, programs, or other items which may be found on or excluded from the Linked Technologies. RangePost does not make any representations or warranties (express, implied, or otherwise) concerning the terms of use, privacy policies, information, content, goods, services, or other items which may be found on or excluded from any Linked Technologies. The fact that the Platform may link to or from any Linked Technologies shall not constitute an affiliation with, association with, or endorsement of such Linked Technologies.
In addition, the Platform may integrate with third-party service providers, including email delivery services, mapping services, and analytics providers, to operate and improve the Platform. TO THE FULLEST EXTENT PROVIDED BY APPLICABLE LAW, RANGEPOST HAS NO RESPONSIBILITY OR LIABILITY FOR ANY THIRD-PARTY SERVICE PROVIDER OR ITS SERVICES, REPRESENTATIONS, OR WARRANTIES.
14. Confidentiality
You acknowledge that, in connection with your use of the Platform, you may have access to confidential and proprietary information of RangePost, including business methods, technology, algorithms, and aggregated user data (“Confidential Information”). You agree to maintain the confidentiality of all Confidential Information and not to use, disclose, or disseminate any Confidential Information except as authorized by these Terms or with ZERO TAM d/b/a RANGEPOST’s prior written consent. Your obligations under this Section shall survive the termination of these Terms.
15. Privacy and Data Protection
(a) Privacy Policy.
Your use of the Platform is subject to RangePost’s Privacy Policy, which is incorporated herein by reference. By using the Platform, you consent to the collection, use, and disclosure of your information as described in the Privacy Policy.
(b) Limited Data Collection.
The Platform collects limited personal information, which may include your name, email address, sector or industry preferences, and geographic area(s) of interest. For Posters, additional information such as company name and contact information may be collected.
(c) Email Communications.
By creating an account, you consent to receive transactional emails and, if you have opted in, email notifications about new listings matching your preferences. You may manage your email preferences or unsubscribe at any time through your account settings or by following the unsubscribe instructions in any email. Opting out of transactional emails related to your account (e.g., security notifications, Terms updates) may not be available.
(d) Poster Obligations Regarding Applicant Data.
If you are a Poster and receive personal information from Applicants who contact you after viewing your listing on the Platform (such as names and email addresses), you agree to handle such information in accordance with all applicable data privacy laws and regulations. You shall not retain, sell, share, or use Applicant personal data for any purpose other than evaluating the applicant for the posted opportunity, unless the Applicant provides separate consent.
16. User Representations, Warranties, and Covenants
By accessing or using the Platform, you represent, warrant, and covenant to Zero TAM d/b/a RangePost that:
You are a natural person and at least 18 years of age, or otherwise the age of majority in your jurisdiction;
You have read and understand these Terms in their entirety;
You have the full right and authority to enter into and abide by these Terms;
You understand and acknowledge that by accepting these Terms you are giving up certain legal rights and remedies, including the right to trial by jury and the right to participate in class actions;
You voluntarily accept and agree to, and will fully comply with, the terms and conditions of these Terms;
You will not violate any applicable international, federal, state, or local laws in connection with your use of the Platform;
You are the exclusive owner of all rights, titles, and interests in and to any User Content you submit, or you have secured all necessary rights and permissions to submit such content and grant the licenses herein;
You User Content does not and will not infringe upon or otherwise violate the proprietary, publicity, or privacy rights of any person or entity;
You User Content does not and will not defame, disparage, or disclose confidential information about any person or entity;
Nothing contained in your User Content is or will be profane, indecent, obscene, threatening, abusive, illegal, false, or misleading;
You User Content is not unsolicited or unauthorized advertising, promotional materials, pyramid schemes, chain letters, spam, or other forms of solicitation;
You will not access the Platform through automated or non-human means, whether through a bot, script, or otherwise;
All information you provide to RangePost in connection with your access or use of the Platform is truthful and accurate;
You are not listed on any United States government list of prohibited or restricted parties;
No obligation, disability, agreement, or adverse claim exists that may restrict your performance or grant of rights hereunder; and
You use of the Platform will comply with these Terms and all applicable laws.
17. Account Termination and Suspension
(a) By You.
You may delete or close your account at any time through the Platform or by contacting RangePost at hello@rangepost.com. Upon deletion, RangePost will delete your data in accordance with the retention periods described in its Privacy Policy and applicable law.
(b) By RangePost.
RangePost may suspend or terminate your account at any time, with or without cause, in its sole discretion, including if RangePost determines that you have violated these Terms, posted discriminatory or unlawful content, engaged in fraudulent or illegal activity, or used the Platform in a manner that may harm RangePost, other Users, or the Platform. RangePost will not be liable to you for any suspension or termination of your account.
(c) Effect of Termination.
Upon termination, your license to access and use the Platform shall immediately cease. All listings associated with a terminated Poster account will be removed from the Platform. Any provisions of these Terms that by their nature should survive termination or expiration shall survive, including, without limitation, provisions relating to intellectual property, confidentiality, indemnification, disclaimers, limitation of liability, and dispute resolution.
18. Disclaimers
THE PLATFORM IS PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS, WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY. RANGEPOST DOES NOT WARRANT THE ACCURACY, RELIABILITY, OR COMPLETENESS OF ANY CONTENT ON THE PLATFORM, INCLUDING LISTINGS, USER PROFILES, OR COMPANY INFORMATION.

RANGEPOST DOES NOT ENDORSE ANY POSTER, JOB SEEKER, OR LISTING. RANGEPOST IS NOT RESPONSIBLE FOR HIRING DECISIONS, WORKPLACE CONDITIONS, COMPENSATION, OR EMPLOYMENT OUTCOMES.
IF YOU ARE A JOB SEEKER, RANGEPOST DOES NOT GUARANTEE THAT YOU WILL RECEIVE RESPONSES TO YOUR APPLICATIONS OR OBTAIN EMPLOYMENT. IF YOU ARE A POSTER, RANGEPOST DOES NOT GUARANTEE THAT YOU WILL RECEIVE QUALIFIED APPLICANTS OR FILL ANY POSITION.
19. Limitation of Liability; Indemnification
(a) No Consequential Damages.
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL RANGEPOST, ITS OFFICERS, DIRECTORS, MEMBERS, MANAGERS, EMPLOYEES, AGENTS, OR AFFILIATES (COLLECTIVELY, THE “RANGEPOST PARTIES”) BE LIABLE TO YOU OR ANY THIRD PARTY FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, LOST REVENUE, LOSS OF DATA, LOSS OF USE, OR LOSS OF EMPLOYMENT OPPORTUNITIES, ARISING OUT OF OR IN CONNECTION WITH THESE TERMS OR THE PLATFORM, REGARDLESS OF THE THEORY OF LIABILITY AND EVEN IF RANGEPOST HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
(b) Monetary Cap.
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, THE RANGEPOST PARTIES’ TOTAL AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR THE PLATFORM SHALL NOT EXCEED THE GREATER OF (I) THE TOTAL FEES PAID BY YOU TO RANGEPOST IN CONNECTION WITH YOUR USE OF THE PLATFORM DURING THE SIX MONTH PERIOD PRECEDING THE EVENT GIVING RISE TO LIABILITY, OR (II) $100.00.
(c) Indemnification.
You agree to defend, indemnify, and hold harmless the RangePost Parties from and against any and all claims, losses, damages, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising out of or related to: (i) your use of the Platform; (ii) your violation of these Terms or any applicable law; (iii) your User Content, including any listing or application you post or submit; (iv) your interaction with any other User, including any dispute arising from a hiring decision, employment relationship, or transaction; (v) any actual or alleged violation of applicable employment or anti-discrimination laws by you; or (vi) your negligence or willful misconduct.
(d) General Release.
YOU HEREBY RELEASE AND HOLD HARMLESS THE RANGEPOST PARTIES FROM AND AGAINST ALL CLAIMS, DEMANDS, AND DAMAGES (ACTUAL AND CONSEQUENTIAL) OF EVERY KIND AND NATURE, KNOWN AND UNKNOWN, SUSPECTED AND UNSUSPECTED, DISCLOSED AND UNDISCLOSED, ARISING OUT OF OR IN ANY WAY CONNECTED WITH YOUR USE OF THE PLATFORM, ANY DISPUTE BETWEEN USERS (INCLUDING BETWEEN A POSTER AND A JOB SEEKER), AND/OR THE RIGHTS AND PRIVILEGES GRANTED OR CONVEYED BY YOU UNDER THESE TERMS. YOU EXPRESSLY WAIVE ANY RIGHTS YOU MAY HAVE UNDER ANY STATUTE OR COMMON LAW PRINCIPLE THAT WOULD OTHERWISE LIMIT THE COVERAGE OF THIS RELEASE TO INCLUDE ONLY THOSE CLAIMS WHICH YOU MAY KNOW OR SUSPECT TO EXIST IN YOUR FAVOR AT THE TIME OF AGREEING TO THIS RELEASE.
20. Dispute Resolution
(a) Governing Law.
These Terms shall be governed by and construed in accordance with the laws of the State of Texas, without regard to its conflict-of-laws principles.
(b) Informal Dispute Resolution.
Before initiating any arbitration, you and RangePost agree to attempt to resolve any Dispute informally. To initiate informal dispute resolution, either party must send written notice to the other party describing the Dispute and the relief sought (“Notice”). Your Notice to RangePost must be sent to hello@rangepost.com. RangePost will send Notice to the email address associated with your account. The parties agree to engage in good-faith efforts to resolve the Dispute for a period of 30 days following receipt of the Notice. If the Dispute is not resolved within this period, either party may initiate arbitration as provided herein. The statute of limitations and any filing deadlines shall be tolled during the Informal Dispute Resolution period.
(c) Mandatory Arbitration.
You and RangePost agree that any dispute, claim, or controversy arising out of or related to these Terms or the Platform (“Dispute”) that is not resolved through the Informal Dispute Resolution process described above shall be resolved exclusively by binding arbitration administered by the American Arbitration Association (“AAA”). The arbitration shall be conducted in Dallas County, Texas (or such other location as the parties may mutually agree). The arbitrator shall have exclusive authority to resolve challenges to the validity or enforceability of this arbitration clause; provided, however, that notwithstanding the foregoing, a court of competent jurisdiction shall have final and definitive authority to resolve any challenges or determinations with respect to the validity or enforceability of the Representative Action Waiver (as defined below). The arbitrator’s decision shall be final and binding and may be entered as a judgment in any court of competent jurisdiction.
(d) Arbitration Rules and Fees.
The arbitration shall be governed by the AAA’s Consumer Arbitration Rules if you are using the Platform for personal, family, or household purposes, or by the AAA’s Commercial Arbitration Rules if you are using the Platform for business purposes. Information about the AAA and its rules, including applicable fee schedules, is available at www.adr.org. Payment of all filing, administration, and arbitrator fees shall be governed by the applicable AAA Rules. The arbitrator may award attorneys’ fees and costs to the prevailing party if authorized by applicable law or the AAA Rules.
(e) Class Action Waiver.
YOU AND RANGEPOST WAIVE ANY RIGHT TO BRING OR PARTICIPATE IN (AND THE ARBITRATOR SHALL HAVE NO AUTHORITY TO ADJUDICATE) ANY CLASS ACTION, COLLECTIVE ACTION, OR OTHER REPRESENTATIVE CLAIM (THE “REPRESENTATIVE ACTION WAIVER”). THE ARBITRATOR MAY NOT CONSOLIDATE MORE THAN ONE PERSON’S CLAIMS AND MAY NOT OTHERWISE PRESIDE OVER ANY FORM OF A REPRESENTATIVE OR CLASS PROCEEDING. NOTWITHSTANDING THE FOREGOING, NOTHING IN THIS SUBSECTION LIMITS THE APPLICABILITY OF THE MASS ARBITRATION PROCEDURES SET FORTH IN SUBSECTION (I) BELOW.
IF A COURT OF COMPETENT JURISDICTION FINDS THE REPRESENTATIVE ACTION WAIVER UNENFORCEABLE IN ANY RESPECT, THEN THE UNENFORCEABLE PORTION OF THE REPRESENTATIVE ACTION WAIVER SHALL BE SEVERABLE FROM THESE TERMS, BUT THE REMAINDER OF THESE TERMS SHALL BE BINDING AND ENFORCEABLE. TO THE EXTENT THAT THERE ARE ANY CLAIMS TO BE LITIGATED IN A CIVIL COURT OF COMPETENT JURISDICTION BECAUSE A CIVIL COURT OF COMPETENT JURISDICTION DETERMINES THAT THE REPRESENTATIVE ACTION WAIVER IS UNENFORCEABLE WITH RESPECT TO SUCH CLAIMS, RANGEPOST AND YOU AGREE THAT LITIGATION OF THOSE CLAIMS SHALL BE STAYED PENDING THE OUTCOME OF ANY INDIVIDUAL CLAIMS IN ARBITRATION.
(f) Small Claims Court.
Notwithstanding the foregoing, either party may bring an individual action in small claims court for Disputes within the court’s jurisdictional limits.
(g) Opt-Out.
You may opt out of this arbitration provision by sending written notice to RangePost at hello@rangepost.com within 30 days of your first acceptance of these Terms. If you opt out, you and RangePost agree to submit to the exclusive jurisdiction of the state and federal courts located in Dallas County, Texas.
(h) Limitation on Claims.
ANY CAUSE OF ACTION OR CLAIM YOU MAY HAVE ARISING OUT OF OR RELATING TO THESE TERMS OR THE PLATFORM MUST BE COMMENCED WITHIN ONE YEAR AFTER THE CAUSE OF ACTION ACCRUES; OTHERWISE, SUCH CAUSE OF ACTION OR CLAIM IS PERMANENTLY BARRED.
(i) Mass Arbitration Procedures.
If 5 or more substantially similar arbitration demands are filed against RangePost within a 90-day period by the same or coordinated counsel (“Mass Arbitration”), then each side’s counsel shall select one demand to proceed as a bellwether. All other demands shall be stayed pending completion of the bellwethers and global mediation below, with no arbitration fees due during the stay. After the bellwether arbitrations are completed, the parties agree to participate in a global mediation of all unresolved demands in the Mass Arbitration. The mediation shall be conducted by a mutually agreed mediator, and the costs of the mediation shall be shared equally by RangePost and the claimants’ counsel. If mediation does not resolve all claims, either party may elect to proceed in court (subject to the Class Action Waiver) by providing written notice within 45 days following completion of the global mediation. If no court election is made within 45 days after completion of mediation, the remaining demands shall be administered in batches of up to 100, with one arbitrator, once procedural calendar, one hearing (which may be conducted by videoconference), and one award per batch. Any applicable statue of limitations shall be towed from demand filing until a court election is made or, if none, 45 days after mediation.
(j) Waiver of Jury Trial.
TO THE FULLEST EXTENT PERMITTED BY LAW, YOU AND RANGEPOST IRREVOCABLY WAIVE ANY RIGHT TO A TRIAL BY JURY IN ANY ACTION ARISING OUT OF OR RELATING TO THESE TERMS OR THE PLATFORM.
21. Future Features and Services
RangePost may introduce additional features, services, or listing categories (such as housing, rentals, local services, classifieds, equipment sales, community events, or business directories) from time to time. Such features will be subject to these Terms and any additional terms RangePost may publish from time to time. RangePost will provide notice of material new features or changes to the Platform through the Platform or by email to registered Users.
22. General Provisions
(a) Entire Agreement.
These Terms, together with the Privacy Policy and any other policies incorporated by reference, constitute the entire agreement between you and RangePost with respect to the subject matter hereof and supersede all prior or contemporaneous agreements, understandings, and representations.
(b) Severability.
If any provision of these Terms is held to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect.
(c) Waiver.
No waiver of any provision of these Terms shall be effective unless in writing and signed by RangePost. No failure or delay in exercising any right under these Terms shall constitute a waiver of such right.
(d) Assignment.
You may not assign or transfer these Terms, or any rights or obligations hereunder, without RangePost’s prior written consent. RangePost may freely assign these Terms.
(e) Notices.
RangePost may provide notices to you through the Platform, by email to the address associated with your account, or by any other reasonable means. You may provide notices to RangePost at hello@rangepost.com.
(f) Force Majeure.
RangePost shall not be liable for any failure or delay in performance resulting from causes beyond its reasonable control, including acts of God, natural disasters, war, terrorism, labor disputes, government actions, power failures, internet or telecommunications failures, or other force majeure events.
(g) No Third-Party Beneficiaries.
These Terms do not create any third-party beneficiary rights in any person or entity.
(h) Headings.
The headings in these Terms are for convenience only and shall not affect their interpretation.
(i) Survival.
The provisions of these Terms that by their nature should survive termination shall survive, including Sections 11 (Intellectual Property), 14 (Privacy and Data Protection), 17 (Disclaimers), 18 (Limitation of Liability; Indemnification), 19 (Dispute Resolution), and this Section 21 (General Provisions).
